01What this agreement covers
This agreement applies between AnyRun and you, the organiser, when you create an organisation and run events on the Platform: registration, payments, volunteers, communications, sponsors, results and photo matching. The principle underneath it: your event is yours. You stage it, you set the prices and policies, you own the relationship with your participants. We provide the system of record and the services around it.
02What you're responsible for
Running an event comes with obligations that only you can carry. You will:
- set your events up accurately: prices, capacity, dates, course details, and a clear refund, transfer and deferral policy (participants see it before they pay, and it binds you);
- comply with the laws that govern your event: permits, road closures, insurance, safety planning, and Working With Children requirements for roles involving minors;
- collect only what you need and have a basis for, including any consents your participants and volunteers must give you;
- treat participants fairly, in line with the Australian Consumer Law: the refund entitlement on cancellation (below) is a minimum you can go beyond;
- use the Platform within the Terms of Use.
03The platform fee
AnyRun charges one platform fee per cart, published in dollars, itemised to the participant at checkout:
- Standard rate: A$0.99 per cart, ex GST, plus a marginal percentage of the cart subtotal: 4.9% on the first A$100, 3.9% on the portion from A$100.01 to A$300, and 2.9% on everything above A$300. Marginal means each slice of the cart is charged its own band's rate, the way income tax brackets work. On a A$150 cart, 4.9% applies to the first A$100 and 3.9% to the remaining A$50.
- Community rate: a flat 2.9% + A$0.99 per cart, ex GST, for registered charities, schools and not-for-profits.
- The fee cannot exceed the cart. On micro-priced carts the fee and its GST are capped together, so the two of them stay inside the cart subtotal and a small entry stays worth taking. A cart with a A$0.00 subtotal carries no platform fee.
- One-time account authorisation fee: A$29.00 ex GST, plus A$2.90 GST, charged as A$31.90 once when an organisation connects its payout account, with your consent recorded on the connect screen before anything is charged. It goes towards the Stripe Radar fraud monitoring applied to the organiser’s connected account. It is not a subscription, does not recur, and is separate from the per-cart fee; a tax invoice is issued.
- Storage packs: 100 GB for one calendar month for A$5.00, ex GST, each. A month is not refunded once it has started.
- Organiser emails: 500 a month are included; beyond that, A$1.00 per 1,000 messages, ex GST, metered per month, or prepaid packs of 5,000 messages for A$5.00, ex GST.
- All amounts are in Australian dollars, and every fee above is stated ex GST. GST is added to the fee and shown as its own line at checkout, on your receipt and on the tax invoice, so the total on screen is the total charged.
The community rate is applied on request for not-for-profits, registered charities and schools. You choose the fee payer: the runner pays the fee on top of your price (default), you absorb it out of your price, or you split it. Whatever you choose is shown itemised in the cart, so participants see where their money goes.
04Promotion codes
A promotion code discounts your entry price, and the discount is yours to fund. You create codes on your own event: a percentage or a fixed amount, for every distance or one of them, with an optional expiry and an optional cap on the number of uses. The discounted price is what the participant is charged and what settles to you, and the platform fee is worked out on that discounted price, so a code costs you the discount and nothing more. You can stop a code at any time, and stopping it leaves every order already placed exactly as it was.
If a capped code is used past its cap, you decide the outcome and AnyRun funds nothing. Two checkouts can reach a code's last use in the same instant. When that happens the entry stands, and the decision opens in your finance console: honour the discount, which is a write-off against your own entry price and is what happens automatically if the decision sits for seven days, or bill the participant the difference, which reaches them as an amount payable with the reason on it. AnyRun does not absorb the difference and does not reverse the entry.
05Participant email allowance
Every organisation includes 500 participant emails per calendar month at no charge. Beyond the included 500, participant email costs A$1.00 per 1,000 messages, ex GST (a tenth of a cent each), metered per month and visible on your usage page before you send: every send shows you the recipient count and the cost line first. In-app notifications to participants are free. Bulk email has a delivery cost, and metering it keeps the platform fee low for everyone. Nothing undelivered is billed.
06What we send you and your staff
Entries arrive as one running summary. The people holding owner and admin roles in your organisation get a single notice per event per day for new entries, updated in place as the day goes on, so a five-hundred-entry morning is one line that keeps counting. It is a notice in the console, so there is nothing to unsubscribe from and nothing arriving in an inbox you did not ask us to write to.
The things that cannot wait are sent one at a time. A refund, a payment dispute, published results and a suspension notice each arrive on their own and immediately, because a summary would bury them. Email from us to you is reserved for what this agreement requires it for (the thirty days' notice before a material change, and anything we are obliged to put to you in writing) and for the account security notices described in the Privacy Policy.
07Flow of funds and GST
Entry money is your money. Funds are collected through our payment providers and flow to you under the provider's connected-account arrangements (for example Stripe Connect); AnyRun is not a bank and does not hold your entry funds. You're responsible for onboarding with the payment provider and meeting its verification requirements before paid registrations open. Entries open once you publish the participation waiver for the event.
GST: our platform fee is stated ex GST. AnyRun is registered for GST, so GST is charged on the fee, shown as its own line at checkout and on the finance ledger, and set out on the tax invoice we issue for our fees. The GST treatment of your own entry prices and add-ons is your responsibility: we show the totals, your accountant owns the treatment.
08Refunds, cancellation and chargebacks
Refunds you approve are processed to your participants under your published policy. Three platform behaviours to know about:
- The platform fee and its GST are not refundable, and your refund tools cannot return them. A refund you issue is capped at the entry price your participant paid; the per-cart fee and its GST stay with AnyRun, because the service the fee pays for was delivered at registration. This holds when you cancel the event too: cancelling is your decision, the platform service was still provided, and the fee and its GST are not returned. Where AnyRun causes a refund (a suspension, a moderation act, a placement we could not deliver) we make the order whole ourselves, and those refunds are not yours to approve or decline.
- Cancelling an event opens refund requests for every paid order, regardless of your stated policy, for the entry price. The Australian Consumer Law reaches this outcome anyway for an event that doesn't proceed; the platform makes that path the automatic one. Your participants are told, in the cancellation notice and in their account, that the entry price is coming back and that the platform fee and its GST are not part of it.
- Chargebacks and disputes on your event are yours, unless we caused them. You carry the cost of disputes relating to your event, and we may recover amounts we're charged as a result, except to the extent a dispute is caused by a Platform failure or our error. We can't underwrite events we don't run, and you shouldn't underwrite mistakes that are ours.
- We tell you about every dispute we hear about. When a card issuer disputes a payment on your event, we record it against the order and put a notice in front of every owner and admin of your organisation immediately, with the amount, the reason the issuer gave and the date evidence is due. Answering it is yours (the payment settled into your account and the evidence is your event's) and we keep the record for as long as we keep the payment it belongs to.
- A sponsor placement refund comes out of your account, including one we cause. Sponsors pay placement fees into your connected payment account (you are the merchant of record for them, as you are for entries) so every placement refund is returned from your balance. That includes a refund AnyRun decides on: a placement we take down under the Content Standards, a sponsor account we suspend, or a slot that had already gone when the payment settled. We approve those ourselves and you are not asked to agree (a refund we caused is not yours to adjudicate), so the first you see of one may be the money leaving, with our reason recorded against it. We hold none of your sponsors' money at any point, so this is not a charge we could absorb instead; if you think the decision behind it was wrong, tell us and a person reviews it.
- A sponsor can ask you for a refund, and the answer is yours. A sponsor can open a refund request against a placement they bought on your event, with their reason, and it lands in your refund queue beside your entry refunds. That request is settled between you and the sponsor: you approve it or decline it, it is paid from your own payment account, and AnyRun is not a party to it. Nothing moves until you answer. Approving one in full releases the placement, so the logo comes off your event page and the slot goes back on sale.
09Data protection: who wears which hat
For your participants' and volunteers' personal information, you are the controller: you decide what your event collects and how it's used. We process it on your behalf to provide the Platform, and we're also a controller for operating and securing the Platform itself. In practice:
- We process on your documented instructions. Your instructions are the settings you choose in the console and the features you switch on: that is the whole of them. We don't use your entrants' details for our own purposes: no selling, no marketing to your participants, and no model training. If we ever believe an instruction would breach the law, we'll tell you first.
- we apply the security described on the security page including field-level encryption of sensitive information like emergency contacts and Working With Children references, which even your own staff see only through access-controlled surfaces;
- Our people are bound to confidentiality, and access to your entrants' data is limited to those who need it to run or support the Platform.
- we use only the sub-processors needed to run the Platform. The current list, by name and by country, is published at sub-processors and forms part of this agreement. We stay responsible to you for what they do with your data. If we add or replace one, we'll update that page before the change takes effect, so you can see who handles your entrants' details and object if you need to.
- Where your data goes. The database is hosted in Sydney, Australia; where event media is stored, and the safeguards around it, are set out precisely in the Privacy Policy's "Where your data lives" section, which governs. Some sub-processors, payment and infrastructure providers among them, handle data overseas, and the sub-processor list names where. Sending personal information overseas doesn't hand off responsibility for it: under Australian Privacy Principle 8 we remain accountable to you and to your participants for how those providers handle it.
- Breach notification, with a clock on it. If we become aware of a data breach affecting your entrants' information we will notify you without undue delay and in any case within 72 hours of becoming aware, with what we know: what happened, whose data and which kinds are affected so far as we can tell, what we're doing about it, and who to talk to. We'll help you meet your own obligations, including any assessment under the Notifiable Data Breaches scheme. We tell you before the picture is complete.
- We help you answer your participants. If someone asks you for access to their data, a correction, or deletion, the console's own tools are the first answer; where they don't reach, ask us and we'll help within a reasonable time. Runners can also exercise those rights directly with us from their own account.
- Retention, and what happens at the end. We keep your entrants' data for as long as you run events with us and for as long afterwards as the law requires us to (tax and financial records being the main one). When you close your organisation, or on your written request, we'll return or delete the personal information we hold for you, except anything we're legally required to keep, and except records that have become part of a public result. Backups age out on their own cycle.
- You can check. On reasonable notice, and no more than once a year unless something has gone wrong, we'll answer your questions about how we handle your entrants' data and give you the information you reasonably need to satisfy yourself we're doing what this agreement says.
- you must give your participants a privacy notice covering your part Your lawful basis for collecting their details is yours to hold, especially for imported past-entrant lists.
If the two of us disagree about who is responsible for what, the test is simple and it is the one above: whoever decided that a piece of information would be collected, and why, is the controller of it. You decide what your event asks for. We decide how the Platform itself is built, secured and kept running.
10Minors and safety
Where your event involves under-18 participants, you're responsible for parental or guardian consent, and for applying Working With Children requirements to volunteers in roles that involve minors: the platform tracks WWC records and shows your coordinators validity and expiry, with the underlying document details withheld. Emergency contact details are collected for one purpose (reaching someone if a participant needs help on course) and must be used for nothing else. AnyRun does not collect health or medical information, and you must not use event communications, uploads or any other field on the Platform to collect it from participants. If your event genuinely needs a medical declaration, handle it on your own systems under your own privacy notice.
11Content, media, and whose IP is whose
You and your photographers confirm you hold the rights and permissions to upload event media and to have it matched to participants and displayed as you configure. You grant us the licence needed to host, process and display that media to provide the Platform, nothing broader. Participants can remove their own matched photos at any time, and you control which images are featured publicly.
Each side keeps its own intellectual property. Your event's name, brand and content stay yours: we take only the licence to display them on your event's surfaces so the Platform can operate. The Platform itself (software, design system, brand) stays ours, on the terms in the Terms of Use. Nothing in this agreement transfers ownership in either direction.
12Results and the AI layer
Chip timing is the source of truth for official results The AI layer only attaches media. Bib-number matching is automatic tagging cross-checked against chip times with human review; it will not cover every participant in every light, and it is not facial recognition. Say the same to your participants: we've written the accurate version into every public surface so you don't have to over-promise.
13Availability, support, and the exit
We aim for high availability (registration and checkout above everything) and support is a message away at support@anyrun.net, alongside the guides at /help. The Platform is provided as available. No online service can promise to be error-free every minute, and we don't. The consumer guarantees stand regardless, and no wording of ours can shrink them.
No lock-in: you can export your event and participant data at any time: every entry, result and finance line, one click, standard formats. This agreement runs while you use the Platform; either party may end it with 30 days' notice, or immediately for a serious unremedied breach. On exit you take your data with you, and we retain only what financial and legal record-keeping requires.
Endings are tidy here. If this agreement ends, by either side, while an event still holds paid registrations, we work with you on an orderly wind-down: it runs to completion on the Platform, or refund requests open for every paid order exactly as if it had been cancelled.
14If we suspend your organisation
We can suspend an organisation, and these are the only grounds we will use. A serious breach of this agreement that is not put right; a legal or safety risk to participants; fraud, or a pattern of payments we have reasonable grounds to treat as fraudulent; or a failure to run an event you have taken money for. Suspension is used when continuing would harm somebody. It is not a collections tool, and it is not an answer to a disagreement about a fee.
What it does, exactly. Your console becomes read-only: you and your staff can still sign in, read everything and export it, and nothing is deleted. Your organisation's public pages and its events stop being publicly available, no new entry can be taken, and payouts are held. Every owner and admin is told, with the reason, and the decision is recorded in the audit log like every other decision we make about your account.
Entries already sold, and money already taken. A suspension is between us and you. It is not a cancellation of your participants' entries and it does not touch their money: entries already paid for stand, and money settled into your payment account is yours; what is held is what has yet to pay out. If the event goes ahead, we lift or narrow the suspension so that it can. If it does not, the cancellation rules above apply unchanged, refund requests open for every paid order, and your participants' rights under the Australian Consumer Law remain theirs against you as the seller: a suspension of your organisation neither creates those rights nor reduces them.
How it ends. Tell us what has changed and a person reviews it; we lift a suspension as soon as its reason has gone, and we will not leave one standing because nobody got back to you. If we conclude the relationship cannot continue, this agreement ends under the exit above and the orderly wind-down in that section applies.
15Events beyond anyone's control
Neither party is in breach for a failure caused by something genuinely outside its reasonable control: natural disaster, epidemic, war, a large-scale internet or utility failure, or government action. Whoever is affected tells the other promptly, does what it reasonably can to reduce the impact, and picks the obligation back up when the cause passes. Two carve-outs, on purpose: an obligation to pay money already due is not excused, and this clause protects both parties equally: a force-majeure clause that shelters only the platform is exactly the kind of one-sided term unfair-contract-terms law penalises. What a cancelled event means for your participants (refunds and their rights) is covered by the cancellation section above, whatever the cause of cancellation.
16Changes to this agreement
Material changes come with notice. If we make a material change to this agreement (including to the fee schedule) we give you at least 30 days' notice by email before it takes effect, and no change applies retroactively: registrations already open keep the terms they opened under. If you don't accept a change, leave before it starts: the exit above stays open, and leaving over a change we made costs you nothing extra. The version you accepted is recorded, so the text that applied to you is on record.
17Liability, indemnity, confidentiality
Consumer and statutory rights stand. The Australian Consumer Law and data-incident sections of the Terms of Use apply to this agreement too; nothing below touches a non-excludable guarantee. Because you acquire our services as a business (not of a kind ordinarily acquired for personal, domestic or household use), where the law permits, our liability for a failure to comply with a consumer guarantee is limited, at our option, to re-supplying the service or paying the cost of re-supply (Australian Consumer Law, section 64A), and that limit applies only where it is fair and reasonable for us to rely on it, which is what the section itself requires.
Subject to that, and to the extent the law permits: neither party is liable to the other for indirect or consequential loss (including loss of profits, data or goodwill), and each party's total liability under this agreement is capped at the platform fees paid to AnyRun on your events in the twelve months before the claim, the same ceiling, both directions, because a cap only one side sits under is the kind of term Australian unfair-contract-terms law now voids and penalises. The cap and the consequential-loss exclusion do not apply to fraud, to a party's own reckless or wilful misconduct, to your obligation to pay our fees, or to any liability that cannot be limited at law.
You indemnify us against third-party claims arising from your event, your content, or your failure to meet a legal requirement for your event: but only to the extent the claim is caused by you, and it stops where the cause is AnyRun's own negligence or breach. You carry the risk you create; we carry the risk we create. Each party keeps the other's confidential information confidential and uses it only for this agreement.
18Severability, assignment, and what survives
- Severability. If any clause of this agreement is void or unenforceable (including under the unfair contract terms regime) that clause is severed and the rest keeps working.
- Assignment. Neither party may assign this agreement without the other's consent, which will not be unreasonably withheld, with one practical exception each way: you may ask us to move an event to a successor organiser (we won't unreasonably refuse), and we may assign to an entity that continues the AnyRun business and takes on every obligation in this agreement, with notice to you. Either way your exit stays open: if you don't like who you'd be dealing with, take your data and go.
- Entire agreement, plainly framed. This agreement, the Terms of Use and the linked policies are the whole deal for your use of the Platform. Nothing in this clause excludes liability the law does not let us exclude, including for misleading or deceptive conduct under the Australian Consumer Law.
- Survival. Clauses that make sense after the end survive it: confidentiality, the liability and indemnity positions, amounts already owed, chargeback recovery for orders taken while you were here, the record-keeping we must retain by law, and the narrow licence for results and photos already delivered to participants' accounts: their race history stays theirs even if you leave.
19Disputes, governing law and contact
Talk to us first: it usually works. If something goes wrong, email support@anyrun.net and a real person will pick it up; for anything serious, either party can ask for a direct discussion between decision-makers before starting formal proceedings. Nothing here delays or limits anyone's right to go to a court or a regulator; the ACCC, the OAIC, or any forum a non-excludable right gives you.
This agreement is governed by the laws of South Australia, Australia. Questions before you sign up, or after: the same address.
